Connectierge™ Service Agreement

PLEASE READ SERVICE AGREEMENT CAREFULLY. BY PURCHASING OUR SERVICES, YOU ACKNOWLEDGE ACCEPTANCE OF THESE TERMS.

(COLLECTIVELY THE “AGREEMENT”), BECOME A BINDING LEGAL COMMITMENT BETWEEN YOU (OR THE BUSINESS ENTITY THAT YOU REPRESENT) AND CONNECTIERGE, A DIVISION OF WARM CONNECTIONS LLC AND ITS RESPECTIVE OFFICERS, DIRECTORS, SUCCESSORS AND ASSIGNS (HEREINAFTER REFERRED TO AS “CONNECTIERGE,” “WE” OR “US”) AND WILL GOVERN YOUR ACCESS TO AND USE OF THE SERVICES.

IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD NOT ACCEPT THEM, CREATE AN ACCOUNT, OR USE THE PLATFORM. IN THE EVENT OF A CONFLICT BETWEEN THESE TERMS OF SERVICE AND THE ADDITIONAL AGREEMENTS INCORPORATED HEREIN BY REFERENCE, THESE TERMS OF SERVICE SHALL PREVAIL.

CONNECTIERGE reserves the right to make changes to these Terms at any time.

This Service Agreement ("Agreement") is made between Connectierge™, a DBA of Synergy Business Network Inc. ("Company"), and the client ("Client") signing up for an account.

1. Services Provided: Connectierge™ will provide virtual assistant services as agreed upon with the Client, this will include providing access to a personal Connectierge™ during business hours via Slack Connect, In-house task management for general administrative support, business projects, and more. Community & Membership Support Services: Membership registration assistance and onboarding, handling support tickets and monitoring community posts, managing community engagement and gamification levels, assisting with course content and event scheduling. Full-time pro-membership & marketing includes CRM management, social media, and marketing services.

2. Payment Terms: The Client agrees to pay Connectierge™ for services rendered, as per the agreed-upon rates. Membership & retainer payments are due monthly and As-Needed VA support tasks are billed at the completion and approval of the job.  The Client may cancel services at any time by contacting [email protected] or writing to the company's address.

3. Included hours: Hours provided under any Connectierge membership tier are allotted on a monthly basis and reset at the start of each billing cycle. Unused hours do not carry over, accumulate, or roll over to subsequent months for any reason, and no credit, refund, or substitution will be issued for hours not used within the billing period in which they were allotted. Members are responsible for scheduling and utilizing their included hours within each monthly cycle. Additional hours beyond a member's included allotment may be purchased at the applicable overage rate.

4. Tier Changes: Members may upgrade or downgrade their Connectierge tier by notifying support or their Connectierge at least 48 hours prior to their next scheduled billing date. Tier changes submitted with proper notice will take effect at the start of the following billing cycle, at which point the new tier's included hours, membership fee, and overage rate will apply. Tier changes submitted with less than 48 hours' notice will not take effect until the billing cycle after next. Included hours from a prior tier do not carry over into a new tier under any circumstance, consistent with the Included Hours policy above.

5. Cancellation Policy: Members may cancel their Connectierge membership at any time by notifying the company, at least 48 hours prior to their next scheduled billing date. Cancellations submitted with proper notice will take effect at the end of the current billing cycle, and no further charges will be applied. Members retain access to their remaining included hours through the end of the billing cycle already paid for, after which access ends. Cancellations submitted with less than 48 hours' notice will result in one additional billing cycle being charged before cancellation takes effect, giving the member a final full cycle of included hours rather than an immediate, unused cutoff. No partial-month refunds are issued for any cancellation.

In the event of termination brought on by the Company, any unused prepaid funds for the current billing cycle, including the prorated value of unused hours, will be refunded to the member within 14 business days. The Company will provide the member with notice of termination and, where reasonably practical, will attempt to complete any tasks already in progress prior to the effective termination date.

7. Confidentiality: Both parties agree to maintain confidentiality of any proprietary or sensitive information exchanged during the term of this Agreement. This includes, but is not limited to, business plans, client lists, and financial information.

8. Limitation of Liability: Connectierge™ shall not be liable for any indirect, incidental, or consequential damages arising out of or related to this Agreement.
